Parties and definitions
1.1 The platform: MR Coursat (كورسات MR), Egypt, at mrcoursat.com. The address, commercial registration, and tax card will be added once issued.
1.2 The instructor: The person who created an instructor account on the platform and accepted this agreement electronically.
1.3 Course: Any educational content the instructor uploads to the platform to be sold to students.
1.4 Sale price: The amount the student paid for the course.
1.5 Processing fee: A fixed amount deducted from each sale before the split, currently EGP 5.
1.6 Net: The sale price after deducting the processing fee.
Signing and acceptance
2.1 The instructor accepts this agreement by ticking the acceptance box in the sign-up form. The platform records the agreement version number, the time of acceptance, and a fingerprint of the accepted text, and emails the instructor a copy of the agreement.
2.2 This acceptance is equivalent to a signature, and counts toward the instructor being "complete" in the founders' offer once they upload their first course.
Financial terms
3.1 There is no subscription and no setup fee.
3.2 The processing fee is deducted from each sale first, and the net is split as follows:
- Founding instructors (the first 30 instructors who complete sign-up, signing, and uploading their first course): 90% to the instructor and 10% to the platform.
- Instructors who sign up after the 30 are complete: the rate in their file at the time they sign up.
3.3 Example: A course priced at EGP 300: processing fee 5, net 295, instructor share 265.5, platform share 29.5.
3.4 The rate is recorded in the instructor's file on the platform, and stays fixed on sales for the term of the agreement, unless changed under clause 9.
3.5 Any electronic payment fees above the processing fee come out of the platform's share, not the instructor's.
3.6 The founders' offer closes once 30 instructors are complete, with no fixed date.
Balance and payouts
4.1 The instructor's share of each sale becomes available for payout 15 days after the sale, so that the refund period (clause 6) has ended.
4.2 The instructor requests a payout from their dashboard once their available balance reaches at least EGP 500.
4.3 The platform processes payout requests within 1 to 3 business days from the request date, by a method agreed between the parties: InstaPay, a mobile wallet, or a bank transfer.
4.4 Transfer fees are paid by the instructor.
4.5 Payout details (wallet or account number) are provided by the instructor with explicit, separate written consent, and are used for payouts only.
Content and license
5.1 The instructor keeps all rights to the course.
5.2 The instructor grants the platform a non-exclusive license to show, sell, and play the course on the platform only, for as long as the course is listed there. If the course is removed from sale, the license continues only for students who bought it before.
5.3 The instructor confirms that they own the rights to the content or have permission to use it, and that the content does not break the law or anyone else's rights.
5.4 Content standard: No music, not even for one second, anywhere in the course (the intro, the background, the ending, and any video shown inside a lesson), and no inappropriate scenes. Breaching this clause may lead to the course being rejected (clause 7.2) or the instructor's account being closed.
5.5 Allowed video sources: Vimeo, YouTube, an external URL, or an embed code.
5.6 The instructor can't delete a published course or close their account themselves. Any request to remove a course or end the agreement is sent to the platform, and the platform carries it out.
Refunds and their effect on the instructor
6.1 Students may request a refund within 14 days of purchase, and get the full amount back by the same payment method within 7 days of their request. This right no longer applies if the student has finished the whole course or received the certificate.
6.2 If a sale is refunded, the instructor's share of it is cancelled. If it was already paid out, it is deducted from their future balance.
6.3 Payment fees on a refunded sale are borne by the platform, not the instructor.
Course review
7.1 Every course is reviewed before publishing within 1 to 3 business days.
7.2 The platform may reject a course or request changes if it breaches the content standard (clause 5.4), and informs the instructor of the reason.
7.3 The platform replies to any instructor inquiry within 24 hours at most, Saturday to Wednesday.
Protecting student data
8.1 The instructor uses their students' data only to deliver the course, and may not market to them or contact them outside the platform without their explicit consent.
8.2 The instructor keeps the data confidential, and deletes it when the relationship ends.
8.3 The instructor notifies the platform immediately of any leak or breach of data in their possession, so that the platform can notify the Personal Data Protection Center within 72 hours.
Changes
9.1 The platform may change the processing fee or rates on future sales only, after notifying the instructor in writing 30 days before the change applies.
9.2 A founding instructor's rate (90%) does not change without their consent.
9.3 Any new version of the agreement gets a new number, and the instructor accepts it from their dashboard.
Ending the agreement
10.1 The platform may end the agreement by written notice. The instructor requests termination from the platform in writing, and can't close their account themselves.
10.2 Nothing is forfeited: Earnings from completed, non-refunded sales are paid to the instructor, after deducting any amounts owed to the platform or to students.
10.3 After termination, the course is removed from sale, and it stays available to students who bought it before.
10.4 The instructor's requests about their personal data (such as deletion) are handled under the Privacy Policy, except for the content of courses already sold and sales data that the law requires us to keep.
